The rules of engagement when you use webfluence.in or work with us. No tricks, no surprise auto-renewals, no mandatory arbitration tucked in clause 47.
01 Acceptance of terms
These Terms & Conditions (“Terms”) govern your access to and use of the website webfluence.in (“the Site”) owned and operated by Webfluence Marketing Solutions (“Webfluence”, “we”, “us”).
By browsing the Site, filling a form, signing an engagement letter, or otherwise engaging our services, you agree to these Terms. If you don’t agree, please don’t use the Site or our services.
02 Using the site
Permitted use
You may browse the Site for personal or business purposes, share our public articles with attribution, and contact us about our services.
Prohibited use
- Scraping content at scale, republishing, or using it to train AI models without written permission.
- Attempting to bypass access controls, rate limits, or security mechanisms.
- Uploading malicious code, spam, or sending phishing attempts via our forms.
- Reverse-engineering any proprietary tools, dashboards, or integrations.
- Using the Site in a way that violates Indian law or the law of your own jurisdiction.
03 Our services
Webfluence provides digital marketing services including but not limited to SEO, Google Ads, Meta Ads, content creation, lead generation, and creative production. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate signed agreement (a Statement of Work, Engagement Letter, or Master Services Agreement) between you and Webfluence.
Information on this Site — including service descriptions, indicative pricing tiers, and case studies — is marketing material, not a binding offer. A contract only forms once both parties sign a written agreement.
04 Engagements & contracts
Minimum term
Unless stated otherwise in your Statement of Work, the default minimum engagement is three calendar months. After the minimum term, engagements continue on a monthly rolling basis with 30 days’ written notice required to terminate.
Change orders
Changes to scope, deliverables, or budget must be agreed in writing (email is fine). We will not begin out-of-scope work based on verbal instructions.
Client responsibilities
- Timely access to ad accounts, analytics, CRM, and any other platforms needed for the work.
- A single point of contact empowered to make decisions and approve creative.
- Prompt feedback — we target 48-hour turnaround on approvals to keep projects on track.
- Truthful and legally compliant information for ads, landing pages, and content.
05 Fees & payment
Invoicing
Retainer fees are invoiced in advance on the first business day of each month. Project fees follow the milestone schedule in the Statement of Work.
Payment terms
- Payment is due within 7 days of invoice date unless otherwise agreed.
- Payments in INR via bank transfer, UPI, Razorpay, or credit card.
- Payments from overseas clients in USD/EUR via wire transfer or Stripe, net of bank charges.
- Applicable GST (18%) is added to all invoices for Indian clients.
Ad spend
Ad spend is paid directly by the client to the ad platform (Google, Meta, LinkedIn, etc.) from a client-owned billing account. We do not mark up media, take a percentage of spend, or receive platform rebates attributable to your account.
Late payment
Invoices overdue by more than 15 days may result in service pause. Overdue balances accrue interest at 1.5% per month from the due date.
06 Intellectual property
What you own
Once fully paid for, you own all final, client-facing deliverables we create specifically for you — ad creatives, landing pages, articles, videos, photography, reports.
What we own
Webfluence retains ownership of our underlying methodologies, frameworks, templates, proprietary tools, and any code or systems developed for general internal use. We also retain the right to reference the completed work in our portfolio and case studies, unless you expressly opt out in writing.
Third-party assets
Licensed stock assets (photography, fonts, music) are covered by the relevant third-party licence, which transfers to you for the agreed use case only.
The Site itself
All content on webfluence.in — including text, graphics, logos, code, and layouts — is owned by Webfluence or its licensors and protected by Indian and international copyright law.
07 Confidentiality
Both parties agree to keep confidential information confidential — business plans, strategies, pricing, customer lists, campaign performance data — for five years after the engagement ends. A mutual NDA covering these obligations is signed before any detailed strategy work begins.
This obligation does not apply to information that is already public, independently developed, or lawfully disclosed by a third party.
08 Third-party platforms
Our services depend on third-party platforms (Google, Meta, LinkedIn, WordPress, analytics tools, etc.) each with their own terms, policies, and availability. We are not responsible for:
- Platform outages, algorithm changes, or policy updates that affect performance.
- Account suspensions by these platforms, provided we followed their policies in good faith.
- Changes in rates, fees, or feature availability imposed by third parties.
We will flag material platform risks upfront and when they emerge during the engagement.
09 Warranties & disclaimers
We warrant that our services will be performed with reasonable skill and care, consistent with standards in the digital marketing industry. We’ll use commercially reasonable efforts to hit the targets described in each Statement of Work.
We do not guarantee specific rankings, traffic numbers, lead volumes, conversion rates, or revenue outcomes. Marketing performance depends on many factors outside our control — market conditions, product-market fit, competitor actions, platform changes, and the client’s own sales execution.
The Site is provided “as is” without warranties of any kind, express or implied, including fitness for purpose, accuracy, or uninterrupted availability.
10 Limitation of liability
To the maximum extent permitted by law:
- Webfluence’s total aggregate liability under any engagement is limited to the fees paid to us by the client in the three months preceding the claim.
- Neither party will be liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or loss of business opportunity — even if advised of the possibility.
- Nothing in these Terms limits liability for gross negligence, wilful misconduct, or matters that cannot legally be excluded.
11 Termination
By either party
Either party may terminate a rolling engagement with 30 days’ written notice after the minimum term. The client remains liable for fees covering the notice period and any work-in-progress up to the termination date.
For cause
Either party may terminate immediately if the other commits a material breach and fails to cure within 15 days of written notice, becomes insolvent, or ceases to carry on business.
What happens on termination
- We hand over all accounts, assets, analytics, and access credentials owned by the client.
- Outstanding invoices become immediately payable.
- Confidentiality obligations survive for five years.
12 Governing law & disputes
These Terms are governed by the laws of India. Any disputes shall first be attempted in good faith through negotiation between senior representatives of both parties within 30 days.
If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
13 Changes to these terms
We may update these Terms from time to time — typically once a year, or when the law or our business practices materially change. The “last updated” date at the top reflects the current version. Material changes will be announced on the Site, and for active clients via email. Continued use of the Site or services after changes means you accept the updated Terms.
